Voluntary Volunteer Board Secretary
We are looking for an enthusiastic, accountable, and committed Board Secretary who will work with the Chair of the Board to ensure that Board Meetings are organised, held, and reported on.
The Board Secretary is responsible for:
-Arranging and communicating a suitable time for the board to meet
-Inviting non-board members to meetings eg. the CEO
-Booking a venue for meetings
-Creating and distributing an agenda for board meetings at least 14 days before the event in collaboration with the Chair of the Board
-Recording the minutes of board meetings
-Maintaining the Minute Book – the combined minutes and resolutions of a year’s worth of board meetings
-Working with the Chair of the Board to maintain and regularly update the Board Action, Risk and Conflicts of Interest Registers
-Following up on actions with the assistance of the Chair of the Board
AGM specific responsibilities:
Annual General Meetings are held once a year within 4 months of the end of the financial year (which at the time of writing is 31 December for FFCA). As with board meetings the Secretary arranges the date and time, invites participants, books the venue, creates and distributes the agenda (at least 30 days prior to the event) in collaboration with the Chair of the Board.
In addition to the above for AGMs the Secretary collates special business for the agenda as put forward by participants
About 10 hours/board meeting
Typically 6 board meetings (minimum requirement is 4/year) plus 1 AGM a year, each meeting runs from 1 hour to 2 hours in duration
This is a voluntary and unpaid role, however you will get to work with a team of diverse and passionate board members from all walks of life who care about making a change through storytelling and film.
An interest in film and or the social sector is preferred but not essential – we welcome people of all experience to apply for this role!
